Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Uploaderly service ("Service"), operated by Uploaderly ("we", "us", or "our"). By creating an account or using the Service you agree to be bound by these Terms.

1. The Service

Uploaderly provides a JavaScript SDK and backend infrastructure that enables merchants to accept file uploads from their customers on Squarespace-hosted e-commerce sites. Uploaded files are stored on cloud storage (Cloudflare R2 or Amazon S3) and associated with customer orders.

2. Accounts

You must be at least 18 years old and provide accurate information when registering. You are responsible for maintaining the confidentiality of your API keys and account credentials and for all activity that occurs under your account. Notify us immediately at hello@uploaderly.com if you suspect unauthorised access.

3. Subscription Plans and Payment

The Service is offered on a paid subscription basis. Fees are charged in advance on a monthly or annual basis through our payment processor, Stripe. All fees are non-refundable except where required by applicable law. We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

If a payment fails your account will be downgraded or suspended after a reasonable grace period. You remain responsible for all charges incurred before suspension.

We reserve the right to suspend or terminate accounts that violate these rules without notice.

5. File Storage and Retention

Files uploaded by your customers are stored for the retention period associated with your plan (30 days on Basic, 90 days on Business, 365 days on Pro), after which they are permanently deleted. You are responsible for downloading or preserving any files you need before the retention period expires. We are not liable for any loss of data resulting from expiry or deletion.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

All rights in the Uploaderly platform, SDK, and associated materials remain our property. Your customers retain ownership of the files they upload. You grant us a limited licence to store and serve those files solely to provide the Service.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from or related to the Service is limited to the fees you paid in the three months preceding the claim. We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits or data.

10. Termination

You may cancel your subscription at any time from your billing settings. We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases and your stored files will be deleted in accordance with our standard retention schedule.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or via an in-app notice at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
